What Directors & Officers coverage includes

Directors and officers (D&O) insurance protects company leaders and the business itself from claims tied to management decisions. Investors, lenders, competitors, customers and regulators can sue directors and officers personally. D&O pays defense costs and settlements so owners' personal assets are not at risk, and it is often required by investors and board members.

Good to know: two years of positive cash flow and no debt covenant problems usually earn the best terms. Startups burning cash should apply early.

Not covered: fraud or illegal profit once finally adjudicated, bodily injury and property damage, and prior and pending litigation.

D&O explained

How D&O insurance works

Most D&O policies have three insuring agreements, often called Side A, B and C.

Side A

Protects directors and officers personally when the company cannot indemnify them.

Side B

Reimburses the company when it pays to defend its leaders.

Side C

Covers claims made against the company itself.

Who sues directors and officers? Investors, lenders, vendors, competitors, customers, regulators and employees. Many private-company policies package D&O with employment practices, fiduciary and crime coverage.
